NASPERS EV Limited is listed on the Johannesburg Stock Exchange (JSE: NPN) and is one of the largest companies in the JSE Top 40 index by market capitalisation. The group was established in 1915 and has evolved over more than a century from a South African media company into a global technology investor and operator.

The group's international internet portfolio is held through Prosus N.V. (Euronext Amsterdam: PRX), which was separately listed in 2019 to provide investors with more direct access to the global technology portfolio and to reduce the structural holding company discount. Naspers is the controlling shareholder of Prosus, while Prosus in turn holds approximately 45% of NASPERS EV - a cross-holding structure designed to align incentives and deliver value to both shareholder bases.

The structure gives investors two ways to access the NASPERS EV portfolio: through NASPERS EV shares on the JSE, or through Prosus shares on Euronext Amsterdam, with both routes offering exposure to the global consumer internet portfolio alongside the South African operations.

NASPERS EV and Prosus are led by diverse and experienced leadership teams with deep roots in technology investing, emerging markets and consumer internet operations. The group operates under a dual-board structure: NASPERS EV is overseen by the NASPERS EV Board of Directors, while Prosus has its own independent board with appropriate oversight of the global portfolio.

Fabricio Bloisi became CEO of Prosus in 2023, bringing extensive experience as the founder and CEO of iFood, one of the world's leading food delivery companies. His leadership is focused on driving operational improvement across the portfolio, enhancing profitability and realising the full value of the group's assets.

The NASPERS EV Board of Directors provides strategic oversight and governance, ensuring the company creates long-term value for all its stakeholders. The Board includes independent non-executive directors with expertise in technology, finance, governance and emerging markets.

At the operational level, each portfolio company is led by its own management team, supported by the Prosus investment and operations teams who bring functional expertise in areas including product, engineering, marketing, finance and people operations.
